Terms and Conditions of Use

1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "User"), and ZenAI Automation ("Company", "CFRE AI", "we", "us", or "our"), concerning your access to and use of the Cash Flow Real Estate (CFRE) intelligence platform, website, analytical models, APIs, and associated services (collectively, the "Services").

By accessing the Services, you confirm that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, you are expressly prohibited from using the Services and must discontinue use immediately.

2. Description of Analytical Services

CFRE AI provides algorithmic real estate underwriting tools, automated valuation models (AVMs), rent yield projections, net operating income (NOI) calculators, debt service coverage ratio (DSCR) assessments, and carbon credit asset analytics. The platform is designed to assist commercial real estate investors, brokers, and developers in evaluating potential acquisition opportunities.

4. User Account Registration & Security

To access specialized deal screening and underwriting features, you may be required to register an account. You agree to maintain the confidentiality of your password and account credentials and accept full responsibility for all activities that occur under your account. We reserve the right to suspend or terminate accounts that provide fraudulent or misleading registration information.

5. Intellectual Property Rights

Unless otherwise indicated, the Services, including all proprietary source code, machine learning algorithms, database structures, interface designs, audio, video, text, and graphics (collectively, the "Content"), are owned or licensed by ZenAI Automation and are protected by United States and international copyright, trademark, and trade secret laws.

Subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal commercial evaluation. You shall not reverse-engineer, decompile, scrape, copy, or redistribute our analytical datasets or algorithm weights without explicit written authorization.

6. Third-Party Data Feeds & Financing Partners

The Services incorporate data feeds, public land records, tax assessment databases, and MLS listings provided by third-party services. While we endeavor to verify data integrity, we do not guarantee the completeness, timeliness, or accuracy of third-party datasets. Connections to external debt providers, commercial lenders, or equity syndicators are offered strictly as informational introductions; we bear no responsibility for third-party financing approvals, terms, or covenants.

7. Limitation of Liability

IN NO EVENT WILL ZENAI AUTOMATION, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR LOSS OF CAPITAL ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Indemnification

You agree to defend, indemnify, and hold harmless ZenAI Automation and its affiliates from and against any loss, damage, liability, claim, or demand (including reasonable legal fees) made by any third party arising out of your use of the Services, breach of these Terms, or any real estate investment decision made in connection with platform analytics.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and defined following the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms shall be resolved through binding arbitration administered in Fairfax County, Virginia, in accordance with commercial arbitration rules.
